Establishment
of WOFE in Shunyi/Beijing

If
you intend to establish your wholly foreign
owned enterprise (WOFE) for trading, warehousing
and distribution or even processing, Shunyi/Beijing,
might be the solution.
For
the establishment of a WOFE, the Shunyi/Beijing
Special Economic Area offers 3 types of Business
licences.
The
various licences entitle their holder to engage
in the following Business activities:
- Trading
Licence*: international trade, show rooms, technical
consulting, simple commercial assembling
- Warehousing
& Trading Licence: same as above plus after
sales-service, bonded warehousing, building up
distribution network
- Processing
Licence: same as above plus processing for export,
processing for Chinese market, outsourcing inside
and outside Shunyi/Beijing FTZ

to the establishment of a turn-key facility.
Step
1: Obtaining of Business Licence
On
behalf of your company, China Contact Consulting
arranges all the steps necessary to apply for the
required Business licence. This namely involves:
- Composition
of project proposal
- Preparation
of feasibility study**
- Registration
of company names
- Negotiations
with government authorities involved
- Setting
up the articles of association
- Commissioning
of environmental assessment report***
- Negotiating
lease contract with Shunyi/Beijing authorities
and checking premises (office / warehouse / processing
space)
- Filling
out application forms in Chinese language
Please
note:
- Each
of the Business licences requires a minimum registered
capital of USD 150,000
- The
registered capital must be paid in within 6 months
after approval of registration of the WOFE
- The
minimum required area to rent in Shunyi/Beijing
is 20 m net for offices and 400 m net for warehousing
or processing units
- Translation
of application forms and required documents from
English to Chinese or vice versa
- Submission
of documents to relevant authorities
- Registration
with Industrial and Commercial Bureau
- Translation
of application forms and required documents from
English to Chinese or vice versa
During
the procedures the following documents are required
from you:
- Agency
Agreement**: Entrust China Contact Consulting
with handling the application procedures for opening
a WOFE in Shunyi/Beijing and with signing the
respective rental contracts with Shunyi/Beijing
authorities. The latter are required for the application
of the Business licence. A simple, official letter
in English is sufficient.
- Business
Licence of investing company (Handelsregisterauszug)
- Bank
certificate of reputation (Bankauskunft)
- Company
profile, company structure, structure of the board,
activities, Business focus of investing company
- Copy
of passport of the investors legal representative
(Chairman)
- 2
photos of the legal representative of the company-to-be-established
(Chairman)
- Letter
of appointment of the board members and the General
Manager as well as the Vice-GM of the new company
(2 original documents)
- Copy
of passport and resume of the board members and
the General Manager as well as the Vice-GM of
the new company
If
possible please submit all the documents in English
language.
Step
2: Ready-to-Use Facilities
The
obtainment of a Business licence constitutes only
the first step of a successful company set-up in
Shunyi/Beijing. In order to engage in the respective
Business activities, Chinese legislation requires
compliance to an additional set of formalities.
During this process you have to deal with up to
ten different authorities. China Contact Consulting
can carry out all the necessary steps on your behalf,
namely:

- For

takes approximately 2-4 weeks to have all required
documents ready for submission. According to our
experience it takes a further 4-6 weeks to receive
the licence from the Application Bureau and finish
Step 1.
After
the licence has been issued China Contact Consulting
needs 4 weeks to complete all of Step 2.
